ข้อกำหนดและเงื่อนไขในการใช้บริการ LINE MyShop สำหรับผู้ใช้บริการ
ข้อกำหนดและเงื่อนไขในการใช้บริการ LINE MyShop สำหรับผู้ใช้บริการ (“ข้อกำหนดการใช้บริการสำหรับผู้ใช้”) ฉบับนี้ระบุข้อกำหนดและเงื่อนไขในการใช้บริการ LINE MyShop (“บริการ LINE MyShop”) ที่ให้บริการโดยไลน์ คอร์ปอเรชั่น (ไลน์ คอร์ป) ในฐานะผู้ให้บริการ และ บริษัท ไลน์ คอมพานี (ประเทศไทย) จำกัด รวมถึงบริษัทร่วมของบริษัท ไลน์ คอมพานี (ประเทศไทย) จำกัด ในฐานะผู้จัดจำหน่าย (ทั้งสองฝ่ายรวมเรียกว่า “ไลน์” (“LINE”)) นอกจากข้อกำหนดการใช้บริการสำหรับผู้ใช้ฉบับนี้ ให้นำข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account (“LINE Official Account Term of Use”) และ ข้อกำหนดและเงื่อนไขการใช้ LINE (“LINE Terms and Conditions of Use”) มาใช้บังคับด้วย ในกรณีที่มีข้อความขัดแย้งกันระหว่างข้อกำหนดการใช้บริการสำหรับผู้ใช้ และ ข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account และ ข้อกำหนดและเงื่อนไขการใช้ LINE ให้ยึดข้อความตามข้อกำหนดการใช้บริการสำหรับผู้ใช้ เป็นสำคัญ ผู้ใช้บริการจะให้ความสำคัญในใช้บริการตามข้อกำหนดที่ระบุในข้อกำหนดการใช้บริการสำหรับผู้ใช้ และข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account และ ข้อกำหนดและเงื่อนไขการใช้ LINE ตามลำดับ โดยผู้ใช้บริการต้องรับผิดชอบต่อการปฏิบัติตามกฎหมายและระเบียบ ข้อบังคับต่าง ๆ ในระหว่างการใช้บริการ LINE MyShop คำนิยามใดหากมิได้ระบุไว้เป็นอย่างอื่นในข้อกำหนดการใช้บริการสำหรับผู้ใช้ฉบับนี้ ให้มีความหมายตามที่ระบุในข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account และ ข้อกำหนดและเงื่อนไขการใช้ LINE
1. บริการ LINE MyShop
LINE ให้บริการ LINE MyShop อันเป็นส่วนหนึ่งของบริการ LINE OFFICIAL ACCOUNT และเป็นพื้นที่ที่ผู้ใช้บริการสามารถซื้อสินค้าใหม่หรือสินค้าใช้แล้วจากผู้ขาย โดยที่ LINE มิได้มีส่วนเกี่ยวข้องกับผู้ขายแต่อย่างใด (“ผู้ขาย”) เมื่อผู้ใช้บริการซื้อสินค้าผ่านบริการ LINE MyShop ผู้ใช้บริการได้ซื้อสินค้าจากผู้ขาย ไม่ได้เป็นการซื้อสินค้าจาก LINE แต่อย่างใด อีกทั้ง ผู้ใช้บริการตกลงว่า LINE ไม่ได้เป็นตัวแทนของผู้ใช้บริการ หรือผู้ขาย และ LINE มิได้มีอำนาจกระทำการแทนผู้ใช้บริการหรือผู้ขาย โดย LINE ไม่มีความรับผิดชอบเกี่ยวกับธุรกรรมใด ๆ ระหว่างผู้ใช้บริการและผู้ขายแม้ว่าธุรกรรมจะทำผ่านการให้บริการ LINE MyShop นี้ก็ตาม รวมถึงการรับประกันใด ๆ ให้แก่ผู้ขายและผู้ใช้บริการ ทั้งนี้ ข้อโต้แย้ง หรือ ข้อพิพาทใด ๆ ที่เกิดขึ้นระหว่างผู้ใช้บริการและผู้ขาย จะต้องแก้ไข และ ระงับข้อพิพาทดังกล่าวโดยผู้ใช้บริการและผู้ขายเอง โดย LINE ไม่มีความรับผิดชอบใด ๆ ในข้อโต้แย้งดังกล่าวทั้งสิ้น
2. เงื่อนไขการซื้อ
ในการซื้อสินค้าหรือบริการใด ๆ ผ่านการให้บริการ LINE MyShop ผู้ใช้บริการจะต้อง
ก. ได้รับความยินยอมจากตัวแทนตามกฎหมายของผู้ใช้บริการในการซื้อสินค้า หากผู้ใช้บริการเป็นผู้เยาว์
ข. เป็นผู้พักอาศัยอยู่ในประเทศเดียวกันกับผู้ขาย
ค. เข้าใจและตกลงตามเงื่อนไขนี้อย่างถูกต้องสำหรับสินค้า หรือบริการที่ผู้ใช้บริการจะซื้อ และ
ง. รับรองและรับประกันว่าในการใช้บริการ LINE MyShop ผู้ใช้บริการจะปฏิบัติตามกฎหมาย ข้อบัญญัติ และระเบียบที่เกี่ยวข้อง
3. การจัดส่งสินค้า
3-1 ผู้ขายจะเป็นผู้ทำการจัดส่งสินค้าที่ผู้ใช้บริการซื้อผ่านบริการ LINE MyShop ด้วยตนเอง โดย ผู้ใช้บริการตกลงว่า LINE ไม่มีความเกี่ยวข้องหรือหน้าที่ในการส่งมอบสินค้า หรือ บริการใด ๆ ให้แก่ผู้ใช้บริการ
3-2 ผู้ใช้บริการตกลงที่จะชำระค่าจัดส่งสินค้าเต็มจำนวนสำหรับสินค้า หรือ บริการใด ๆ ที่ผู้ใช้บริการซื้อ ในกรณีที่ผู้ขายไม่ได้เป็นผู้รับผิดชอบค่าจัดส่งสินค้าดังกล่าวให้แก่ผู้ใช้บริการ
3-3 ผู้ใช้บริการจะไม่มอบหมายให้ผู้ใดทำการจัดส่งสินค้า หรือ บริการที่ซื้อผ่านบริการ LINE MyShop และ ผู้ใช้บริการจะเลือกวิธีการจัดส่งสินค้าตามที่ผู้ขายกำหนดเท่านั้น
4. ข้อมูลคำสั่งซื้อ
4-1 ผู้ใช้ตกลงว่าไลน์อาจเก็บ ประมวลผล และใช้ข้อมูลที่ผู้ใช้ให้ไว้ ได้แก่ ชื่อของผู้ใช้ ที่อยู่ในการจัดส่ง หมายเลขโทรศัพท์ อีเมล ข้อมูลบุคคลที่มีการส่งสินค้าให้ (ชื่อผู้รับสินค้า ที่อยู่ในการจัดส่ง หมายเลขโทรศัพท์ อีเมล) รูปภาพสลิปการโอนเงิน จำนวนเงินที่โอน วันที่และเวลา วิธีการชำระเงิน บันทึกข้อความโดยผู้ซื้อ รหัสส่วนลด และข้อมูลที่ผู้ขายได้ให้ไว้ ได้แก่ ประวัติการซื้อสินค้า (รวมถึงข้อมูลสินค้าที่ผู้ใช้ต้องการสั่งซื้อ) (ต่อไปนี้จะเรียกรวมกันว่า “ข้อมูลคำสั่งซื้อ”) เพื่อวัตถุประสงค์ดังต่อไปนี้
(ก) เพื่อให้ผู้ขาย และ/หรือ ผู้จัดส่ง สามารถส่งสินค้า หรือ บริการให้แก่ผู้ใช้ได้
(ข) เพื่อให้ผู้ขายสามารถยืนยันการชำระเงินของผู้ใช้
(ค) เพื่อให้ผู้ใช้สามารถตรวจสอบประวัติการซื้อสินค้า
(ง) เพื่อให้ไลน์สามารถให้บริการ LINE MyShop แก่ผู้ใช้
(จ) ปรับปรุง และ/หรือ พัฒนาบริการ LINE MyShop และบริการเพิ่มเติมโดยไลน์ให้ดียิ่งขึ้น
(ฉ) แบ่งปันข้อมูลประวัติการทำธุรกรรม และข้อมูลที่จำเป็นอื่น ๆ แก่ผู้ให้บริการการชำระเงิน และ/หรือ ตัวแทนรับชำระเงิน หากไลน์พบว่ามีความจำเป็นต้องตรวจสอบกรณีที่อาจเป็นการใช้บริการ LINE MyShop ในทางที่ไม่ชอบ หรือ ไม่เหมาะสม และ
(ช) วัตถุประสงค์อื่น ๆ ตามนโยบายคุ้มครองความเป็นส่วนตัวของ LINE (LINE Privacy Policy)
4-2 ทั้งนี้ ไลน์จะไม่วิเคราะห์เนื้อหาของรูปภาพสลิปการโอนเงินที่ได้มีการอัปโหลด
5. เงื่อนไขการชำระเงิน
5-1 การชำระเงินทั้งหมดจะต้องทำผ่านช่องทางการชำระเงิน (payment gateway) ตามที่ผู้ขายกำหนด โดยผู้ใช้บริการจะต้องปฏิบัติตามข้อกำหนดและเงื่อนไขที่เกี่ยวกับการใช้ช่องทางชำระเงิน (payment gateway) ดังกล่าว (เท่าที่บังคับใช้)
5-2 ผู้ใช้บริการตกลงรับผิดชอบค่าใช้จ่ายทั้งหมดที่เกิดจากการซื้อสินค้า (รวมถึงแต่ไม่จำกัดเฉพาะ ค่าใช้จ่ายเกี่ยวกับการสื่อสาร ภาษีที่เกี่ยวข้อง และค่าจัดส่งสินค้า (ถ้ามี)
6. การเปลี่ยนหรือยกเลิกคำสั่งซื้อ
ทันทีที่ผู้ใช้บริการได้ส่งคำสั่งซื้อสินค้า หรือ บริการใด ๆ ผ่านบริการ LINE MyShop ผู้ขายจะดำเนินการจัดการกระบวนการสั่งซื้อตามคำสั่งซื้อทุกประการ โดย LINE ไม่สามารถเปลี่ยนแปลงหรือยกเลิกคำสั่งซื้อใด ๆ ของผู้ใช้บริการได้ รวมถึงการเปลี่ยนแปลงวิธีการจัดส่งสินค้า หรือข้อมูลการเรียกเก็บเงิน ผู้ใช้บริการจำต้องติดต่อผู้ขายด้วยตนเอง หากผู้ใช้บริการประสงค์เปลี่ยนแปลง หรือยกเลิกคำสั่งซื้อ ผู้ใช้บริการอาจส่งข้อความไปยังผู้ขายโดยใช้บริการไลน์ (LINE messenger) หรือ ช่องทางอื่น ๆ อย่างไรก็ตาม ไม่ได้เป็นการรับประกันว่าผู้ขายจะตอบข้อความของผู้ใช้บริการ
7. การคืนสินค้า
ผู้ใช้บริการอาจไม่สามารถส่งคืนสินค้า หรือ บริการที่ผู้ใช้บริการซื้อผ่านบริการ LINE MyShop ให้แก่ LINE ได้ ในกรณีดังกล่าว ผู้ใช้บริการต้องติดต่อผู้ขายด้วยตนเองเกี่ยวกับการส่งคืนสินค้า หรือบริการ โดยหากผู้ใช้บริการประสงค์คืนสินค้าหรือบริการ ผู้ใช้บริการอาจส่งข้อความไปยังผู้ขายโดยใช้บริการไลน์ (LINE messenger) หรือ ช่องทางอื่น ๆ ทั้งนี้ อย่างไรก็ตาม ไม่ได้เป็นการรับประกันว่าผู้ขายจะตอบข้อความของผู้ใช้บริการ
8. การแก้ไขข้อกำหนดการใช้บริการสำหรับผู้ใช้
LINE สงวนสิทธิ์แต่เพียงฝ่ายเดียวในการเปลี่ยนแปลง เพิ่มเติม หรือยกเลิกข้อความใด ๆ ในข้อกำหนดการใช้บริการสำหรับผู้ใช้ และ ข้อกำหนดอื่นใดที่ใช้บังคับนี้ได้ไม่ว่าในเวลาใด ๆ โดยผู้ใช้บริการมีหน้าที่ต้องตรวจสอบข้อกำหนดการใช้บริการสำหรับผู้ใช้ก่อนการใช้บริการ LINE MyShop ในแต่ละครั้ง การที่ผู้ใช้บริการยังคงใช้บริการ LINE MyShop อย่างต่อเนื่อง หลังจากที่ได้มีการโพสต์ประกาศการเปลี่ยนแปลงใด ๆ ถือว่าผู้ใช้บริการยอมรับและตกลงในการเปลี่ยนแปลงดังกล่าว
9. ขั้นตอนการระงับข้อพิพาท การเรียกร้อง
หากผู้ใช้บริการไม่ได้รับสินค้าหรือบริการจากผู้ขาย หรือ สินค้าหรือบริการที่ผู้ใช้บริการได้รับมีตำหนิ เสียหาย หรือไม่ตรงกับคำบรรยายที่ปรากฏอยู่ในบริการ LINE MyShop ผู้ใช้บริการต้องติดต่อผู้ขายโดยตรงเพื่อพยายามแก้ไขปัญหา โดยผู้ใช้บริการอาจส่งข้อความไปยังผู้ขายโดยใช้บริการไลน์ (LINE messenger) หรือช่องทางอื่น ๆ อย่างไรก็ตาม ไม่ได้เป็นการรับประกันว่าผู้ขายจะตอบข้อความของผู้ใช้บริการ ทั้งนี้ LINE จะไม่ไกล่เกลี่ย ระงับ หรือแก้ไขข้อพิพาทในนามของผู้ใช้บริการ หรือผู้ขายในทุกกรณีทั้งสิ้น
10. การกระทำอันต้องห้าม
หาก LINE พบว่าผู้ใช้บริการอยู่ในข่ายของข้อใดข้อหนึ่งดังต่อไปนี้ ไม่ว่าโดยทางตรง หรือทางอ้อม LINE อาจจะระงับ หรือยกเลิกการให้บริการ LINE MyShop หรือบัญชี LINE ของผู้ใช้บริการทันที
ก. กิจกรรมใด ๆ อันเป็นการต้องห้ามตามข้อกำหนดการใช้บริการสำหรับผู้ใช้, ข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account และ ข้อกำหนดและเงื่อนไขการใช้ LINE
ข. กิจกรรมใด ๆ อันเป็นการรบกวนการปฏิบัติการของ LINE ในการให้บริการ LINE MyShop หรือเป็นการรบกวนการใช้บริการอื่น ๆ ของ LINE ของผู้ใช้บริการรายอื่น ๆ
ค. กิจกรรมอื่นใดที่ LINE ถือว่าไม่เหมาะสม
11. การชดใช้ค่าเสียหาย
ผู้ใช้บริการตกลงชดใช้ค่าเสียหาย ปกป้อง LINE และบริษัทในเครือของ LINE เจ้าหน้าที่ของบริษัท กรรมการ พนักงาน รวมถึงตัวแทน และผู้ใช้บริการรายอื่น ๆ ให้ปลอดจากข้อเรียกร้อง หรือการเรียกร้องใด ๆ รวมถึงค่าธรรมเนียมวิชาชีพที่ปรึกษากฎหมายตามที่เหมาะสม ที่บุคคลภายนอกได้เรียกร้อง อันเกิดจาก หรือเกี่ยวเนื่องกับการที่ผู้ใช้บริการได้ฝ่าฝืนข้อกำหนดการใช้บริการสำหรับผู้ใช้นี้ หรือ ข้อพิพาทระหว่างผู้ขายและผู้ใช้บริการ หรือการที่ผู้ใช้บริการได้ฝ่าฝืนกฎหมาย ระเบียบ หรือสิทธิของบุคคลภายนอก ทั้งนี้ หากผู้ใช้บริการไม่กระทำการปกป้องดังกล่าว LINE อาจทำการปกป้องโดยวิธีใด ๆ ตามที่ LINE เห็นสมควร และผู้ใช้บริการตกลงชำระค่าใช้จ่ายทั้งหมด รวมถึงค่าธรรมเนียมวิชาชีพที่ปรึกษากฎหมายตามที่เหมาะสมที่ได้เกิดขึ้นต่อ LINE ในการปกป้องดังกล่าว นอกเหนือไปจากจำนวนเงินใด ๆ ที่ LINE อาจต้องชำระเพื่อการระงับข้อพิพาทหรือการตัดสินใด ๆ การชดใช้ค่าเสียหายภายใต้ข้อกำหนดการใช้บริการสำหรับผู้ใช้นี้จะยังคงมีผลบังคับอยู่ต่อไป ภายหลังจากการยกเลิกการใช้บริการ LINE MyShop ของผู้ใช้
12. การสงวนสิทธิ์การรับประกัน
บริการ LINE MyShop การดาวน์โหลด ซอฟต์แวร์ ชุดข้อมูล และข้อมูล เป็นการให้บริการในลักษณะ “ตามที่เป็นอยู่นั้น” เว้นแต่จะได้ระบุอย่างชัดแจ้งในเอกสารฉบับนี้ ทั้งนี้ LINE ปฏิเสธการรับประกัน และ/หรือ เงื่อนไขต่าง ๆ (ไม่ว่าโดยชัดแจ้งหรือโดยปริยาย) ที่เกี่ยวกับบริการ LINE MyShop รวมถึง แต่ไม่จำกัดเฉพาะ การรับประกันโดยนัย และ/หรือ เงื่อนไขสภาพทางการค้า หรือคุณภาพของข้อมูล และความเหมาะสมเพื่อวัตถุประสงค์ใด ๆ โดยเฉพาะ ความเหมาะสม กรรมสิทธิ์ การไม่ถูกละเมิด การไม่มีไวรัส หรือสินค้าเป็นไปตามคำพรรณนา ไม่ว่าในกรณีใด ๆ ก็ตาม
13. การจำกัดความรับผิด
ผู้ขาย หรือ ผู้ใช้บริการเป็นผู้รับความเสี่ยงทั้งหมดอันเกิดขึ้นจากการใช้บริการ LINE MyShop การใช้สินค้า และ/หรือ บริการใด ๆ ที่ถูกนำเสนอผ่าน หรือ เกี่ยวกับบริการ LINE MyShop และ/หรือ การใช้เนื้อหา และ/หรือ การดาวน์โหลดเนื้อหาดิจิทัล ทั้งนี้ ไม่ว่าในกรณีใด ๆ LINE หรือ เจ้าหน้าที่ กรรมการ พนักงาน ตัวแทน หรือบริษัทร่วมของ LINE ไม่ต้องรับผิดต่อความเสียหายใด ๆ ที่เป็นผลจากการผิดสัญญา (consequential damages) ความเสียหายธรรมดาที่ย่อมเกิดขึ้น (incidental damages) ความเสียหายทางตรง ความเสียหายทางอ้อม ความเสียหายจำเพาะ ค่าเสียหายเชิงลงโทษ หรือความเสียหายอื่นใด ไม่ว่าในกรณีใด ๆ (รวมถึง แต่ไม่จำกัดเฉพาะ ความเสียหายต่อความสูญเสียทางกำไรของธุรกิจ ธุรกิจหยุดชะงัก ความสูญเสียในเชิงข้อมูลทางธุรกิจ หรือความสูญเสียทางการเงินอื่น ๆ) ที่เกิดจากข้อกำหนดการใช้บริการสำหรับผู้ใช้นี้ หรือการใช้ หรือการไม่สามารถใช้สินค้า บริการ เนื้อหา และ/หรือการดาวน์โหลดเนื้อหาดิจิทัลใด ๆ อันเกิดจาก หรือเกี่ยวเนื่องกับความล่าช้า หรือการไม่สามารถใช้บริการ LINE MyShop หรือการบริการที่เกี่ยวข้องต่าง ๆ อันเกิดจากการส่งมอบสินค้า หรือให้บริการ หรือไม่สามารถส่งมอบสินค้า หรือให้บริการ หรือที่เกี่ยวเนื่องกับข้อมูลใด ๆ ซอฟต์แวร์ สินค้า บริการ และเนื้อหาที่ได้รับผ่านบริการ LINE MyShop หรือไม่ว่าในกรณีอื่นใด เกิดจากการใช้บริการ LINE MyShop ไม่ว่าจะอยู่บนพื้นฐานของสัญญา ละเมิด ความประมาทเลินเล่อ ความรับผิดโดยเคร่งครัด หรือ ไม่ว่าในกรณีอื่นใด แม้ว่า LINE ได้รับคำแนะนำถึงความเป็นไปได้ในเรื่องความเสียหายดังกล่าว ข้อมูลคำสั่งซื้อ เช่น การเรียกเก็บเงิน หรือ ที่อยู่ที่จัดส่งสินค้าที่ไม่ถูกต้อง หรือไม่ครบถ้วน อาจจะส่งผลให้เกิดความล่าช้าซึ่ง LINE ไม่ต้องรับผิดชอบ ผู้ใช้บริการรับทราบและตกลงว่าการจำกัดความรับผิด การสงวนสิทธิการรับประกัน และการจำกัดการชดใช้ ที่ระบุในเอกสารฉบับนี้ ถือว่าเป็นการกระจายความเสี่ยงอันไม่อาจแบ่งแยกได้ (รวมถึง แต่ไม่จำกัดเฉพาะ ในกรณีที่การละเมิดพื้นฐาน และทั้งหมดของเงื่อนไขการการบริการ LINE MyShop ทั้งหมด) ซึ่งเป็นปัจจัยที่จำเป็นในการต่อรองระหว่างคู่สัญญา
14. นโยบายความเป็นส่วนตัว
14-1 ผู้ใช้บริการยอมรับว่านโยบายความเป็นส่วนตัวของ LINE นั้นบังคับใช้กับการใช้บริการ LINE MyShop
14-2 LINE ถือว่าความเป็นส่วนตัวของผู้ใช้บริการเป็นสิ่งสำคัญสูงสุด
14-3 LINE สัญญาจะปกป้องความเป็นส่วนตัว และข้อมูลส่วนบุคคลของผู้ใช้บริการตามนโยบายความเป็นส่วนตัว LINE (LINE Privacy Policy)
14-4 LINE สัญญาจะใช้ความระมัดระวัง และความใส่ใจสูงสุดเกี่ยวกับมาตรการความมั่นคงปลอดภัย เพื่อความปลอดภัยอย่างต่อเนื่องของข้อมูลทั้งหมดของผู้ใช้บริการ
15. บททั่วไป
15-1 ความล่าช้า หรือการไม่ดำเนินการใด ๆ ภายใต้ข้อกำหนดการใช้บริการสำหรับผู้ใช้นี้ ไม่ถือว่า LINE สละสิทธิใด ๆ ในข้อหนึ่งข้อใดของข้อกำหนดการใช้บริการสำหรับผู้ใช้ อนึ่ง หากข้อกำหนดใด ๆ ในข้อกำหนดการใช้บริการสำหรับผู้ใช้ ไม่สมบูรณ์ ไม่มีผลบังคับภายใต้กฎหมายที่เกี่ยวข้อง ให้ถือว่าข้อกำหนดดังกล่าวมีผลใช้บังคับอยู่ได้มากที่สุดเท่าที่จะบังคับได้ (และแยกออกจากข้อกำหนดอื่น ๆ ที่ไม่มีผลบังคับอย่างสิ้นเชิง) ส่วนข้อกำหนดอื่น ๆ ในข้อกำหนดการใช้บริการสำหรับผู้ใช้นี้ยังคงมีผลบังคับใช้อยู่อย่างสมบูรณ์ โดยข้อกำหนดการใช้บริการสำหรับผู้ใช้นี้มีผลผูกพันและเป็นประโยชน์ต่อ LINE บริษัทร่วมของ LINE และผู้รับโอนสิทธิที่ได้รับอนุญาต
15-2 ผู้ใช้บริการจะรับประกันต่อ LINE ว่า ผู้ใช้บริการไม่ได้มีความสัมพันธ์ หรือเกี่ยวข้องกับกลุ่มที่มีอิทธิพล องค์กรที่ยุ่งเกี่ยวกับอาชญากรรม หรือใช้ความรุนแรง
15-3 ผู้ใช้บริการจะรักษาข้อมูลความลับของ LINE และจะไม่เปิดเผยข้อมูลความลับดังกล่าวให้แก่บุคคลใด ๆ

LINE MyShop Terms and Conditions of Service for Users
The LINE MyShop Terms and Conditions of Service for Users (the “Terms of Service for Users”) set forth the terms and conditions for use of LINE MyShop service (the “LINE Myshop Service”) provided by LINE Corporation (LINE Corp.) as the service provider and LINE Company (Thailand) Limited and its affiliates as the distributor (collectively, “LINE”). In addition to the Terms of Service for Users, LINE Official Account Terms of Use and LINE Terms and Conditions of Use shall be applied respectively. In the event of any conflict between Terms of Service for Users, LINE Official Account Terms of Use and LINE Terms and Conditions of Use, the Terms of Service for Users will prevail. The Terms of Service for Users will be the highest priority and LINE Official Account Terms of Use and LINE Terms and Conditions of Use will follow (respectively). The User will use the LINE MyShop Service in accordance with the provisions of the Terms of Service for Users, LINE Official Account Terms of Use and LINE Terms and Conditions of Use. The User is responsible for compliance with all applicable laws and regulations when using the LINE MyShop Service. Any capitalized terms not defined herein shall have the meaning(s) set forth in LINE Official Account Terms of Use and LINE Terms and Conditions of Use.
1. LINE MyShop Service
LINE provides the LINE MyShop Service as a part of LINE Official Account service and as places for the User to purchase new and used products from sellers who are independent of LINE (“Seller(s)”). When the User makes a purchase through the LINE MyShop Service, the User is purchasing products from the Seller, not from LINE. The User agrees that LINE is not an agent for any User or Seller, and has no authority to act on a User’s or on the Seller’s behalf. LINE shall have no responsibilities as to the transactions between the User and Seller even if such transactions are made through the LINE MyShop Service and shall not make any kind of warranties or representation as to Seller to User. Any disputes and conflicts between the User and Seller shall be resolved between the User and Seller at their own responsibilities and LINE has no responsibilities as to such disputes.
2. Conditions of Purchase
To purchase any products or services on the LINE MyShop Service, the User shall:
(a) obtain the User’s statutory agent’s consent to purchase products if the User is under age;
(b) be a resident in the same country where the Seller exists;
(c) understand and agree the conditions accurately as for any products or services that a User will purchase; and
(d) hereby represent and warrant that the User’s use of the LINE MyShop Service will comply with applicable laws, ordinances and regulations.
3. Delivery
3-1 Delivery of the products that the User purchases in the LINE MyShop Service are delivered by the Seller and not LINE. A User agrees that LINE has no obligation to deliver to the User any products or services.
3-2 The User agrees to pay the delivery fees in full for any products or services that the User purchases if the Seller does not bear the delivery fees.
3-3 The User will not assign any company for delivery of the products or services made through the LINE MyShop Service and shall choose delivery means designated by the Seller.
4. Order Information
4-1 The User agrees that LINE may collect, process and use information provided by User: the User’s name, delivery address, telephone number, email, people to whom purchases have been shipped (recipient name, delivery address, telephone number, email), transfer slip image, transfer amount, date and time, and payment method, additional notes to seller, discount code and information provided by Seller: purchase history of merchandises (including merchandises User requested to purchase) (collectively “Order Information”) for the following purposes:
(a) enable delivery of products or services by Seller and/or deliverers to User;
(b) enable Seller to confirm payment made by User;
(c) enable User to check purchase history;
(d) enable LINE to provide the LINE MyShop Service to User;
(e) improve and/or optimize the LINE MyShop Service and additional services provided by LINE;
(f) share the transaction history, and other necessary information to payment service providers and/or payment collection agencies if the LINE identifies a need to investigate possible misuse of the LINE MyShop Service or inappropriate manner; and
(g) other purposes in accordance with LINE Privacy Policy.
4-2 Nevertheless, LINE will not analyze the contents of the transfer slip image uploaded.
5. Conditions of Payment
5-1 All payments shall be made through payment gateways as specified by the Sellers. The User shall comply with their terms and conditions relating to use of such payment gateway (as applicable).
5-2 The User agrees to bear all costs incurred in connection with User’s purchases (including but not limited to communication costs, applicable taxes and delivery fees, if any).
6. Changing or Cancelling Orders
Once the User has placed an order for any products or services in the LINE MyShop Service, the Seller will be handling all aspects of the order process. LINE will not change or cancel any order made by the User, including any change to delivery means or billing information. The User will need to contact the Seller for any changes or cancellations that the User desires to make to its order. The User may send messages to the Seller by using LINE messenger service or other channels; provided, however, that it is not guaranteed that the Seller will respond to User’s messages.
7. Returns of Products
The User may not return any products or services the User purchases in the LINE MyShop Service to LINE. In this regard, the User shall directly contact the Seller regarding any returning of products or services that the User desires to make. The User may send messages to the Seller by using LINE messenger service or other channels; provided, however, that it is not guaranteed that the Seller will respond to User’s messages.
8. Amendments to the Terms of Service for Users
LINE reserves the right, at its sole discretion, to change, add or remove portions of these Terms of Service for Users and other applicable terms of uses, at any time. It is Users’ responsibility to check such Terms of Service for Users each time before using the LINE MyShop Service. User’s continued use of the LINE MyShop Service following the posting of changes will mean that the User accepts and agrees to the changes.
9. Dispute Resolution Steps, Claim Process.
If the User does not receive product or service from the Seller or the User has received a product or service that is defective, damaged, or that does not match the description contained in the LINE MyShop Service, the User shall contact the Seller directly to attempt to resolve the problem. The User may send messages to the Seller by using LINE messenger service or other channels; provided, however, that it is not guaranteed that Seller will respond to User’s messages. LINE will not mediate, disputes, or resolve the matter on User’s or Seller’s behalf in any event.
10. Prohibited Acts
If LINE determines that any of the following items is applicable to the User directly or indirectly, LINE may immediately suspend or terminate the LINE MyShop Service or its LINE account.
(a) Activities that are prohibited by these Terms of Service for Users, LINE Official Account Terms of Use and the LINE Terms of Service.
(b) Activities that interfere with LINE’s operation of LINE MyShop Service or with the use of LINE services by other users.
(c) Other activities that are deemed by LINE to be inappropriate.
11. Indemnification
The User agrees to indemnify and hold harmless LINE and its affiliates, officers, directors and employees and agents, and other Users from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of or related to User’s violation of these Terms of Service for Users, disputes between Seller and User or User’s violation of any law, regulation or third-party right. If the User fails to assume such defense, then LINE may defend the action in any manner that it deems appropriate, and the User agrees to pay to LINE all costs, including reasonable attorneys' fees, that LINE incur in effecting such defense in addition to any sum that LINE is likely to be required to pay by reason of any settlement or judgment. This indemnity hereunder, shall survive after the termination of the use of the LINE MyShop Service by the User.
12. Disclaimer of Warranties
THE LINE MYSHOP SERVICE, DOWNLOADS, SOFTWARE, DATA, AND INFORMATION ARE PROVIDED "AS IS." EXCEPT AS EXPRESSLY STATED HEREIN, LINE EXPRESSLY DISCLAIMS ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER RELATING TO THE LINE MYSHOP SERVICE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR QUALITY OF DATA AND FITNESS FOR A PARTICULAR PURPOSE, SUITABILITY, TITLE, NON-INFRINGEMENT, LACK OF VIRUSES OR CORRESPONDENCE TO DESCRIPTION.
13. LIMITATION OF LIABILITY
THE ENTIRE RISK ARISING OUT OF THE USE OF THE LINE MYSHOP SERVICE, THE USE OF ANY PRODUCTS AND/OR SERVICES OFFERED ON OR IN CONNECTION WITH THE LINE MYSHOP SERVICE, AND/OR THE USE OF ANY CONTENT AND/OR DIGITAL DOWNLOADS REMAINS WITH THE SELLER OR THE USER. IN NO EVENT LINE OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THESE TERMS OF SERVICE FOR USERS OR THE USE OF OR INABILITY TO USE ANY PRODUCTS, SERVICES, CONTENT AND/OR DIGITAL DOWNLOADS, ARISING OUT OF OR IN CONNECTION WITH THE DELAY OR INABILITY TO USE THE LINE MYSHOP SERVICE OR RELATED SERVICES, ARISING OUT OF THE PROVISION OF OR FAILURE TO PROVIDE PRODUCTS OR SERVICES, OR IN CONNECTION WITH ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT OBTAINED THROUGH THE LINE MYSHOP SERVICE, OR OTHERWISE ARISING OUT OF THE USE OF THE LINE MYSHOP SERVICE WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE EVEN IF LINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORDER INFORMATION SUCH AS BILLING OR DELIVERY ADDRESS THAT IS INACCURATE OR INCOMPLETE MAY RESULT IN DELAYS THAT SHALL NOT BE THE RESPONSIBILITY OF LINE. THE USER ACKNOWLEDGES AND AGREES THAT THE LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES AND LIMITED REMEDIES SET FORTH HEREIN REPRESENT AN INSEPARABLE ALLOCATION OF RISK (INCLUDING, WITHOUT LIMITATION, IN THE EVENT OF A TOTAL AND FUNDAMENTAL BREACH OF THESE TERMS OF SERVICE FOR USERS) THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.
14. Privacy
14-1 User understands that LINE Privacy Policy is applicable to the use of the LINE MyShop Service.
14-2 LINE places its highest priority on the privacy of its User.
14-3 LINE promises to protect the privacy and personal information of its User in accordance with the LINE Privacy Policy.
14-4 LINE promises to exercise the utmost care and attention regarding its security measures for the continued security of any and all User information.
15. General
15-1 No delay or failure to take action under these Terms of Service for Users shall constitute any waiver by LINE of any provision of these Terms of Service for Users. If any provision of these Terms of Service for Users is invalid or unenforceable under applicable law, then that provision is, to that extent, deemed enforceable to the fullest extent possible (and severable in the event such provision is completely unenforceable) and the remaining provisions of these Terms of Service for Users will continue in full force and effect. These Terms of Service for Users will bind and inure to the benefit of LINE, its affiliates, and their permitted successors and assigns.
15-2 The User shall warrant to LINE that it is not and does not have any relationship with anti-social forces.
15-3 The User shall keep the confidential information of LINE in secret and shall not disclose such confidential information to any third parties.
15-4 These Terms of Service for Users shall be governed by the laws of Japan without regard to or application of any conflict of laws, or provisions. The User consents to the exclusive jurisdiction of the Tokyo District Court in Japan.
