ข้อกำหนดและเงื่อนไขในการใช้บริการ LINE MyShop สำหรับผู้ขาย
(“ข้อกำหนดการให้บริการสำหรับผู้ขาย”) ฉบับนี้ระบุข้อกำหนดและเงื่อนไขในการใช้บริการ LINE MyShop (“บริการ LINE MyShop”) ที่ให้บริการโดยไลน์ คอร์เปอเรชั่น (ไลน์ คอร์ป) ในฐานะผู้ให้บริการ และ บริษัทไลน์ คอมพานี (ประเทศไทย) จำกัด รวมถึงบริษัทร่วมของบริษัทไลน์ คอมพานี (ประเทศไทย) จำกัด ในฐานะผู้จัดจำหน่าย (รวมเรียกว่า “ไลน์” (“LINE”)) นอกเหนือจากข้อกำหนดการให้บริการ สำหรับผู้ขายฉบับนี้ ให้นำข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account (LINE Official Account Terms of Use) และข้อกำหนดและเงื่อนไขการใช้ LINE (LINE Terms and Conditions of Use) และ แนวปฏิบัติที่ LINE ใช้บังคับอยู่ เพื่อนำมาใช้บังคับกับบริการ LINE MyShop ด้วย (รวมเรียกว่า “ข้อกำหนดการใช้บริการที่เกี่ยวข้อง”) ในกรณีที่มีข้อความขัดแย้งกันระหว่างข้อกำหนดการให้บริการ สำหรับผู้ขาย ข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account และข้อกำหนดและเงื่อนไขการใช้ LINE ให้ยึดข้อความตามข้อกำหนดการให้บริการสำหรับผู้ขายโดยข้อกำหนดการให้บริการสำหรับผู้ขาย ถือเป็นความสำคัญลำดับแรก ตามด้วยข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account และข้อกำหนดและเงื่อนไขการใช้ LINE (ตามลำดับ) ทั้งนี้ ผู้ขายต้องรับผิดชอบในการปฏิบัติตามกฎหมาย และกฎระเบียบต่าง ๆ ในการใช้บริการ LINE MyShop คำนิยามใดหากมิได้ระบุไว้เป็นอย่างอื่นใน ข้อกำหนดการให้บริการสำหรับผู้ขายฉบับนี้ ให้มีความหมายตามที่ระบุในข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account และข้อกำหนดและเงื่อนไขการใช้ LINE
1. บริการ LINE MyShop
LINE ให้บริการ LINE MYSHOP อันเป็นส่วนหนึ่งของบริการ LINE Official Account และเป็นพื้นที่ที่ผู้ขายสามารถขายสินค้าและบริการให้แก่ผู้ใช้บริการ LINE (“ผู้ซื้อ”) เพื่อหลีกเลี่ยงข้อสงสัย คำว่า “ผู้ขาย” ในข้อกำหนดการให้บริการสำหรับผู้ขาย หมายถึง ลูกค้า (Customer) ตามที่ระบุในข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account ซึ่งใช้บริการ LINE MyShop นี้ เพื่อจำหน่ายสินค้า และ/หรือ บริการของตนเอง (“สินค้า”) เมื่อผู้ขายทำการขายผ่านบริการ LINE MyShop ผู้ขายได้ขายสินค้านั้นให้แก่ผู้ซื้อ ไม่ได้ขายให้แก่ LINE อนึ่ง ผู้ขายตกลงว่า LINE ไม่ได้เป็นตัวแทนของผู้ขาย หรือผู้ซื้อแต่อย่างใด โดย LINE กำหนดให้ผู้ขายต้องทำการลงทะเบียนเพื่อสามารถใช้บริการ LINE MyShop ได้โดยใช้ข้อมูลหมายเลขโทรศัพท์, อีเมล, ที่อยู่ร้านค้า, ชื่อธนาคาร, สาขาธนาคาร, ชื่อเจ้าของบัญชีธนาคาร ซึ่งจะถูกเก็บรักษา และ ดำเนินการภายใต้นโยบายคุ้มครองความเป็นส่วนตัวของ LINE (LINE Privacy Policy) และข้อกำหนดการรักษาความปลอดภัยตามข้อกำหนดและเงื่อนไขการใช้บริการ LINE Official Account LINE จะไม่รับผิดชอบในบรรดาความรับผิดใด ๆ ที่เกิดขึ้นจากธุรกรรมระหว่างผู้ซื้อ และ ผู้ขายแม้ว่าธุรกรรมดังกล่าวจะทำผ่านบริการ LINE MyShop ก็ตาม และจะไม่รับประกันหรือให้คำรับรอง ต่อผู้ซื้อ หรือ ต่อผู้ขาย ทั้งนี้ หากมีข้อพิพาท หรือความขัดแย้งใด ๆ ที่เกิดขึ้น ผู้ซื้อและผู้ขายจะต้องดำเนินการ ระงับข้อพิพาทดังกล่าวด้วยตนเองโดย LINE จะไม่รับผิดชอบในบรรดาความรับผิดใด ๆ ที่เกิดขึ้น อันเกี่ยวเนื่องจากข้อพิพาทดังกล่าวทั้งสิ้น
2. การปฏิเสธการใช้บริการ LINE MyShop
ในกรณีที่ LINE พบว่าผู้ขายอยู่ในข่ายของข้อใดข้อหนึ่งดังต่อไปนี้ LINE อาจจะระงับ หรือยกเลิกการใช้บริการ LINE MyShop ของผู้ขายได้ไม่ว่าในเวลาใด ๆ
(1) ผู้ขายเคยถูกระงับ หรือถูกปฏิเสธ (แม้เพียงครั้งเดียว) ไม่ให้ใช้บริการใด ๆ ที่ LINE ให้บริการ
(2) ผู้ขายลงทะเบียน หรือแสดงข้อมูลที่ไม่ถูกต้อง หรือ ข้อมูลที่ไม่เป็นปัจจุบันในบริการ LINE Official Account หรือ บริการ LINE MyShop
(3) ผู้ขายฝ่าฝืนข้อกำหนดข้อหนึ่งข้อใดที่ระบุในข้อกำหนดการใช้บริการที่เกี่ยวข้อง และ
(4) เหตุอื่นใดที่เกิดจากการใช้หรือลงทะเบียนของผู้ขายในบริการ LINE Official Account หรือ LINE MyShop มีความไม่เหมาะสม
3. การอนุญาตให้ใช้สิทธิ์
ผู้ขายตกลงให้สิทธิ์แก่ LINE ซึ่งเป็นสิทธิ์โดยไม่จำกัดแต่เพียงผู้เดียว ไม่มีค่าสิทธิ์ และไม่อาจจะเพิกถอนได้ เพื่อที่จะเก็บ คัดลอก พิมพ์ ใช้ ผลิตซ้ำ จัดจำหน่าย โอน เปิดเผย เผยแพร่ และแสดงข้อมูลเกี่ยวกับ สินค้าของผู้ขาย (รวมถึง แต่ไม่จำกัดเฉพาะ รูปสินค้า ภาพต่าง ๆ รหัสสินค้า ชื่อสินค้า ข้อมูลและ รายละเอียดสินค้า รหัสหมวดหมู่สินค้า หมวดหมู่สินค้า รหัสผลิตภัณฑ์สากล (ยูพีซี) ราคาสินค้า คีย์เวิร์ดสำหรับค้นหาสินค้า (รวมเรียกว่า “ข้อมูลสินค้า”)) ชื่อผู้ขาย/ชื่อร้านค้า เครื่องหมายการค้า เครื่องหมายบริการ และโลโก้ ระหว่างการใช้บริการ LINE MyShop ให้แก่ LINE SHOPPING และ LINE Ads Platform รวมถึงบริการอื่น ๆ ของ ไลน์ คอร์เปอเรชั่น และบริษัท ไลน์ คอมพานี (ประเทศไทย) จำกัด (รวมถึงแต่ไม่จำกัดเฉพาะ บริษัทในเครือ คู่ค้า พันธมิตรของไลน์ คอร์เปอเรชั่น และบริษัท ไลน์ คอมพานี (ประเทศไทย) จำกัด) เพื่อทำการส่งเสริม พัฒนาการให้บริการ และการโฆษณาของบริการ LINE MyShop
การอนุญาตภายใต้ข้อ 3 นี้จะรวมถึงถึงสิทธิภายใต้บทบัญญัติกฎหมายข้อ 27 และ ข้อ 28 ของกฎหมายลิขสิทธิ์ ประเทศญี่ปุ่น (Japanese Copyright Act.)
4. คำรับประกันผลิตภัณฑ์ของผู้ขาย
4-1. ผู้ขายรับรองและรับประกันว่าข้อมูลสินค้าทั้งหมดเป็นไปตามลักษณะดังต่อไปนี้
(1) เป็นจริง ถูกต้อง และไม่ทำให้หลงผิด หรือหลอกลวงโดยประการอื่นใด
(2) ไม่ละเมิดสิทธิในทรัพย์สินทางปัญญา เช่น ลิขสิทธิ์ สิทธิบัตร เครื่องหมายการค้า ความลับทางการค้า สิทธิในการเผยแพร่ต่อสาธารณชน (Right of Publicity) หรือสิทธิส่วนบุคคลของบุคคลภายนอก
(3) ไม่ละเมิดกฎหมาย กฎ ข้อบัญญัติ หรือระเบียบใด ๆ และ
(4) ไม่เป็นการดูหมิ่น หมิ่นประมาท ข่มขู่ หรือคุกคามโดยไม่ชอบด้วยกฎหมาย
4-2. ผู้ขายรับรองและรับประกันว่าผู้ขายจะไม่ลงรายการ เสนอ หรือจำหน่ายสิ่งของดังต่อไปนี้
(1) สิ่งของที่ถูกขโมย หรือลอกเลียนแบบ
(2) สิ่งของซึ่งละเมิดสิทธิในทรัพย์สินทางปัญญาของผู้อื่น เช่น ลิขสิทธิ์ สิทธิบัตร เครื่องหมายการค้า ความลับทางการค้า หรือกรรมสิทธิ์ สิทธิในการเผยแพร่ต่อสาธารณชน (Right of Publicity) หรือสิทธิส่วนบุคคล
(3) ผู้ขายไม่ได้มีสิทธิหรือได้รับอนุญาตในการขายสิ่งของดังกล่าว
(4) สิ่งของซึ่งมีไวรัส โทรจัน ฮอร์ส (Trojan horses) หนอนคอมพิวเตอร์ (worms) หรือโปรแกรมคอมพิวเตอร์อื่นใดที่อาจจะทำลาย รบกวนอย่างร้ายแรง ขัดขวางโดยแอบแฝง หรือละเมิดระบบ ข้อมูล หรือข้อมูลส่วนบุคคลใด ๆ
(5) สิ่งของซึ่งถูกห้ามจำหน่าย หรือโอนโดยกฎหมาย กฎ ข้อบัญญัติ หรือระเบียบใด ๆ
(6) วัตถุลามก อนาจาร หรือขัดต่อความสงบเรียบร้อยหรือศีลธรรมอันดีของประชาชน และ
(7) สิ่งของซึ่งจะก่อให้เกิดความรับผิดต่อ LINE
5. ข้อมูลคำสั่งซื้อ
5-1. ข้อมูลที่เกี่ยวข้องกับการให้บริการ LINE MyShop ตามที่ระบุไว้ดังต่อนี้จะรวมเรียกว่า “ข้อมูลคำสั่งซื้อ”
(1) ข้อมูลผู้ซื้อ: ชื่อผู้ซื้อ, สถานที่จัดส่งสินค้า, เบอร์โทรศัพท์, อีเมล, สินค้าที่ซื้อ
(2) คำสั่งซื้อ: หมายเลขคำสั่งซื้อ, ราคาสินค้า, จำนวนสินค้าที่ซื้อโดยผู้ใช้, รายการสินค้า (SKU), บาร์โค้ด (Barcode), รูปภาพของสินค้า, ตัวแปร (สี, ขนาด), วันหมดอายุของคำสั่งซื้อ, รหัสคูปองส่วนลด, มูลค่าส่วนลดจากคูปอง, จำนวนคำสั่งซื้อที่ลดราคาที่เกิดจากระบบ, จำนวนของส่วนลดที่เกิดจากร้านค้ามอบให้เพิ่มเติม, บันทึกข้อความโดยผู้ซื้อ, บันทึกข้อความโดยผู้ขาย
(3) หลักฐานการชำระเงิน: จำนวนเงินโอน, วันที่โอน, เวลาที่โอน, รูปภาพสลิปการโอนเงินหรือใบเสร็จ (ประกอบด้วย วันที่และเวลา, ชื่อผู้ซื้อ, ชื่อธนาคารของผู้ซื้อ, เลขบัญชีธนาคารของผู้ซื้อ(บางส่วน), ชื่อผู้ขาย, ชื่อบัญชีธนาคารของผู้ขาย, เลขบัญชีธนาคารของผู้ขาย(บางส่วน), เลขที่ธุรกรรม, จำนวน, ค่าธรรมเนียม, ราคา)
(4) วิธีการชำระเงิน: โอนเงินผ่านบัญชีธนาคาร, บัตรเครดิต, บัตรเดบิต หรือ ชำระเงินปลายทาง หรือ วิธีการอื่นใด
(5) ข้อมูลการจัดส่ง: เลขที่คำสั่งซื้อ, ข้อมูลส่วนตัวของผู้รับสินค้า, สถานการณ์ล่าสุด, มูลค่าสินค้า, ค่าจัดส่ง, มูลค่าส่วนลดค่าจัดส่ง, วิธีการจัดส่ง, ชื่อบริษัทจัดส่งสินค้า, สถานะการจัดส่ง และ
(6) คลังสินค้า: ชื่อสินค้า, ตัวแปรสินค้า, จำนวนสินค้าสำรองไว้รอการชำระเงิน, จำนวนสินค้าที่พร้อมจัดส่ง, จำนวนสินค้าคงเหลือที่ขายได้จริง, จำนวนสินค้าในระบบทั้งหมด
5-2. ผู้ขายจะต้องบริหารจัดการข้อมูลคำสั่งซื้อตามกฎหมาย และระเบียบที่เกี่ยวข้องอย่างเคร่งครัด และอาจจะใช้ข้อมูลคำสั่งซื้อเพียงเพื่อปฏิบัติหน้าที่ของผู้ขายและให้บริการที่เกี่ยวข้องกับธุรกรรมระหว่างผู้ขายและผู้ซื้อผ่านบริการ LINE MyShop เท่านั้น โดยอยู่ภายใต้ข้อกำหนดการให้บริการสำหรับผู้ขาย กฎหมายและระเบียบที่เกี่ยวข้องทั้งหมด ทั้งนี้ ผู้ขายจะต้องไม่กระทำการดังต่อไปนี้
(1) เปิดเผย หรือส่งข้อมูลคำสั่งซื้อใด ๆ ให้แก่บุคคลภายนอก เว้นแต่กรณีที่กฎหมายอนุญาต ให้เปิดเผยข้อมูลคำสั่งซื้อแก่บุคคลภายนอก หรือ
(2) ใช้ข้อมูลคำสั่งซื้อ เพื่อวัตถุประสงค์อื่นใดนอกเหนือจากการปฏิบัติหน้าที่ของผู้ขาย ที่มีต่อผู้ซื้อ อย่างไรก็ตาม ผู้ขายรับทราบว่าข้อมูลคำสั่งซื้อจะถูกใช้ระหว่างการให้บริการ LINE MyShop ตามที่ระบุไว้ในสัญญาระหว่าง LINE กับ ผู้ขายเท่านั้น และจะไม่ทำการเก็บ หรือ ใช้ หรือ แจกจ่าย หรือ เปิดเผยข้อมูลคำสั่งซื้อใด ๆ เมื่อสัญญาดังกล่าวสิ้นสุดหรือถูกยกเลิก
5-3. ผู้ขายตกลงว่า LINE อาจจะเก็บ ประมวลผล หรือใช้ข้อมูล หรือ กิจกรรม หรือพฤติกรรมของผู้ขาย (รวมเรียกว่า “ข้อมูลผู้ขาย”) ภายใน หรือ ที่เกี่ยวข้องกับการให้บริการ LINE MyShop ภายใต้วัตถุประสงค์ดังต่อไปนี้
(1) ใช้ประโยชน์ หรือ สืบค้นที่เกี่ยวข้องกับข้อมูลผู้ขายกับพันธมิตรคู่ค้าอื่น ๆ สำหรับการวิเคราะห์อภิมาน (meta-analysis) ไม่เพียงเฉพาะการให้บริการ LINE MyShop เท่านั้น แต่ยังรวมถึงการให้บริการอื่น ๆ ของ LINE ตามที่ LINE เห็นสมควร
(2) ปรับปรุง พัฒนา เปลี่ยนแปลงการให้บริการ LINE MyShop
(3) จัดทำเป้าหมายการโฆษณาผ่านบริการ LINE MyShop หรือบริการ LINE SHOPPING รวมถึงบริการอื่น ๆ ของ LINE ได้อย่างเหมาะสม
(4) วางเป้าหมายการโฆษณาบนอินเทอร์เน็ต หรือ บริการ LINE MyShop หรือ สื่ออื่น ๆ ได้อย่างเหมาะสม
(5) ตรวจวัดประสิทธิภาพการโฆษณาบนอินเทอร์เน็ต หรือ บริการ LINE MyShop หรือ สื่ออื่น ๆ
(6) ตรวจสอบ หรือ ป้องกันการฉ้อฉล หรือ การใช้โดยไม่ได้รับอนุญาต หรือ การใช้ในทางที่ผิด หรือ กิจกรรมที่ผิดกฎหมายที่ให้บริการโดย LINE
6. ความรับผิดชอบของผู้ขาย
6-1 ผู้ขายมีหน้าที่รับผิดชอบในการกำหนดวิธีการส่งมอบสินค้าด้วยตนเอง
6-2 ผู้ขายจะต้องรับผิดชอบในการกระบวนการจัดการคำสั่งซื้อ อันรวมถึงแต่ไม่จำกัดเฉพาะ การบรรจุหีบห่อ และการส่งมอบสินค้า และความรับผิดที่เกี่ยวข้องในกระบวนการดังกล่าวแต่เพียงผู้เดียว
6-3 ผู้ขายตกลงว่าผู้ขายจะรับผิดชอบต่อค่าใช้จ่ายและค่าเสียหายใด ๆ ที่เกิดขึ้นจากธุรกรรมระหว่างผู้ขายและ ผู้ซื้อ และจะไม่เรียกร้องค่าใช้จ่ายและค่าเสียหายใด ๆ ที่เกิดจากธุรกรรมดังกล่าวจาก LINE
6-4 ผู้ขายจะรับผิดชอบในการจัดการตามคำร้องขอของผู้ซื้อเกี่ยวกับการขอยกเลิก ขอคืนสินค้า ขอคืนเงิน การดูแลลูกค้า หรือกรณีอื่นใดที่เกี่ยวกับธุรกรรมระหว่างผู้ขายและผู้ซื้อ เมื่อผู้ซื้อได้ส่งคำสั่งซื้อสินค้า ผ่านบริการ LINE MyShop ผู้ขายจะต้องดำเนินการตามขั้นตอน การสั่งซื้อทุกประการ โดย LINE จะไม่เปลี่ยนแปลง หรือยกเลิกคำสั่งซื้อใด ๆ ของผู้ซื้อ รวมถึงการเปลี่ยนแปลงใด ๆ ที่เกี่ยวกับข้อมูล การจัดส่งสินค้า หรือข้อมูลการชำระเงิน ผู้ขายจะต้องแสดงข้อมูลอย่างเหมาะสมผ่านบริการ LINE MyShop เพื่อให้ผู้ซื้อสามารถติดต่อผู้ขายได้ในกรณีขอเปลี่ยนแปลงหรือยกเลิกใด ๆ
6-5 ผู้ขายจะต้องใช้ระบบความมั่นคงปลอดภัยของสารสนเทศที่เหมาะสม เพื่อป้องกันมิให้เกิดการรั่วไหล หรือเข้าถึงข้อมูลคำสั่งซื้อโดยไม่ได้รับอนุญาต ผู้ขายจะรับผิดชอบต่อค่าเสียหาย และค่าใช้จ่ายอันเกิดจากการรั่วไหล และการเข้าถึงข้อมูลดังกล่าวโดยไม่ได้รับอนุญาต รวมถึงกรณีความมั่นคงปลอดภัยอื่น ๆ
7. เงื่อนไขการชำระเงิน
7-1 ผู้ขายจะรับผิดชอบในการจัดหาช่องทางการชำระเงิน (payment gateway) สำหรับการขายสินค้า เช่นเดียวกับบริการจัดส่งสินค้าที่มีการใช้และดำเนินการผ่านบริการ LINE MyShop ด้วยตนเอง โดยผู้ขายจะต้องปฏิบัติตามข้อกำหนดและเงื่อนไขในการใช้ช่องทางการชำระเงินดังกล่าว (ถ้ามี) และ/หรือในการบริการจัดส่งสินค้า โดย LINE จะไม่มีความเกี่ยวข้อง หรือ รับผิดในบรรดาความสูญหาย และความเสียหายใด ๆ ที่เกิดขึ้นไม่ว่าทั้งหมดหรือบางส่วนในกระบวนการชำระเงินดังกล่าว
7-2 ค่าใช้จ่ายในการจัดส่งสินค้าที่เกี่ยวข้องกับคำสั่งซื้อจะเป็นไปตามที่ตกลงกันระหว่างผู้ขาย และ ผู้ซื้อ โดย ผู้ขายจะต้องปฏิบัติตามวิธีการชำระเงินที่ผู้จัดส่งสินค้าได้ระบุไว้ต่างหาก
8. การรับรองและการรับประกัน
ผู้ขายรับรองและรับประกันต่อ LINE ดังต่อไปนี้
(1) ผู้ขายตั้งอยู่และอยู่ในสถานะที่ดีภายใต้กฎหมายของประเทศที่ผู้ขายใช้บริการ LINE MyShop และ
(2) ผู้ขายมีสิทธิ์และอำนาจในการให้สิทธิ์และการอนุญาตให้ใช้สิทธิ์ภายใต้ข้อกำหนดการให้บริการสำหรับผู้ขายฉบับนี้โดยปราศจากการเรียกร้อง สิทธิยึดหน่วง และภาระผูกพันใด ๆ
9. การชดใช้ค่าเสียหาย
ผู้ขายตกลงจะชดใช้ค่าเสียหาย และปกป้อง LINE บริษัทในเครือ LINE เจ้าหน้าที่ของบริษัท กรรมการ พนักงาน รวมถึงตัวแทน และผู้ใช้บริการรายอื่น ๆ หรือบริการ LINE MyShop ให้ปลอดจาก ข้อเรียกร้อง หรือการเรียกร้องใด ๆ รวมถึงค่าธรรมเนียมวิชาชีพที่ปรึกษากฎหมายตามที่เหมาะสม ที่บุคคลภายนอกได้เรียกร้อง อันเกิดจาก หรือเกี่ยวเนื่องกับการที่ผู้ขายได้ฝ่าฝืน ข้อกำหนดการให้บริการสำหรับผู้ขาย หรือ ข้อพิพาทระหว่างผู้ขายและผู้ซื้อ หรือ การที่ผู้ขาย ได้ฝ่าฝืนกฎหมาย ระเบียบ หรือสิทธิของบุคคลภายนอก ทั้งนี้ หากผู้ขายไม่กระทำการปกป้องดังกล่าว LINE อาจจะทำการปกป้องโดยวิธีใด ๆ ตามที่ LINE เห็นสมควร และผู้ขายตกลงชำระค่าใช้จ่ายทั้งหมด รวมถึงค่าธรรมเนียมวิชาชีพที่ปรึกษากฎหมายตามที่เหมาะสมที่ได้เกิดขึ้นต่อ LINE ในการปกป้องดังกล่าว นอกเหนือไปจากจำนวนเงินใด ๆ ที่ LINE อาจจะต้องชำระ เพื่อการระงับ ข้อพิพาทหรือการตัดสินใด ๆ โดยการชดใช้ค่าเสียหายภายใต้ข้อกำหนดฉบับนี้ จะยังคงมีผลบังคับอยู่ต่อไปแม้ว่าภายหลังจะมีการสิ้นสุด หรือ การยกเลิกการใช้บริการ LINE MyShop ของผู้ขาย
10. การสงวนสิทธิ์การรับประกัน
บริการ LINE MyShop การดาวน์โหลด ซอฟต์แวร์ ชุดข้อมูล และข้อมูล เป็นการให้บริการในลักษณะ (“ตามที่เป็นอยู่นั้น”) เว้นแต่จะได้ระบุอย่างชัดแจ้งในเอกสารฉบับนี้ ทั้งนี้ LINE ปฏิเสธการรับประกัน และ/หรือ เงื่อนไขต่าง ๆ (ไม่ว่าโดยชัดแจ้งหรือโดยปริยาย) ที่เกี่ยวกับบริการ LINE MyShop รวมถึง แต่ไม่จำกัดเฉพาะการรับประกันโดยนัย และ/หรือ เงื่อนไขสภาพทางการค้า หรือคุณภาพของข้อมูล และความเหมาะสมเพื่อวัตถุประสงค์ใด ๆ โดยเฉพาะ ความเหมาะสม กรรมสิทธิ์ การไม่ถูกละเมิด การไม่มีไวรัส หรือสินค้าเป็นไปตามคำพรรณนา ไม่ว่าในกรณีใด ๆ ก็ตาม
11. การจำกัดความรับผิด
ผู้ขายเป็นผู้รับความเสี่ยงทั้งหมดอันเกิดขึ้นจากการใช้บริการ LINE MyShop โดย LINE หรือ เจ้าหน้าที่ กรรมการ พนักงาน ตัวแทน หรือบริษัทร่วมของ LINE ไม่ต้องรับผิดต่อความเสียหาย ที่เป็นผลจากการผิดสัญญา (consequential damages) ความเสียหายธรรมดาที่ย่อมเกิดขึ้น (incidental damages) ความเสียหายทางตรง ความเสียหายทางอ้อม ความเสียหายจำเพาะ ค่าเสียหายเชิงลงโทษ หรือความเสียหายอื่นใด ไม่ว่าในกรณีใด ๆ (รวมถึง แต่ไม่จำกัดเฉพาะ ความเสียหายต่อความสูญเสีย ทางกำไรของธุรกิจ ธุรกิจหยุดชะงัก ความสูญเสียในเชิงข้อมูลทางธุรกิจ หรือความสูญเสียทางการเงินอื่น ๆ) ที่เกิดจากข้อกำหนดการให้บริการสำหรับผู้ขายนี้ หรือการใช้ หรือการไม่สามารถใช้สินค้าใด ๆ หรือ อันเกิดจาก หรือเกี่ยวเนื่องกับความล่าช้า หรือการไม่สามารถใช้บริการ LINE MyShop หรือการบริการที่เกี่ยวข้องต่าง ๆ หรือ อันเกิดจากการส่งมอบสินค้า หรือไม่สามารถส่งมอบสินค้า หรือ ที่เกี่ยวเนื่องกับข้อมูลใด ๆ และซอฟต์แวร์ที่ได้รับผ่านบริการ LINE MyShop หรือ ไม่ว่าในกรณีอื่นใด เกิดจากการใช้บริการ LINE MyShop ไม่ว่าจะอยู่บนพื้นฐานของสัญญา ละเมิด ประมาทเลินเล่อ ความรับผิดโดยเคร่งครัด หรือ ไม่ว่าในกรณีอื่นใด แม้ว่า LINE ได้รับคำแนะนำถึงความเป็นไปได้ในเรื่อง ความเสียหายดังกล่าว ข้อมูลคำสั่งซื้อ เช่น การเรียกเก็บเงิน หรือ ที่อยู่ที่จัดส่งสินค้าที่ไม่ถูกต้อง หรือไม่ครบถ้วน อาจจะส่งผลให้เกิดความล่าช้าซึ่ง LINE ไม่ต้องรับผิดชอบ ผู้ขายรับทราบและตกลงว่า การจำกัดความรับผิด การสงวนสิทธิการรับประกัน และการจำกัดการชดใช้ ที่ระบุในเอกสารฉบับนี้ ถือว่าเป็นการกระจายความเสี่ยงอันไม่อาจแบ่งแยกได้ (รวมถึงแต่ไม่จำกัดเฉพาะ ในกรณีที่การละเมิด ทั้งหมด และ พื้นฐานของข้อกำหนดการให้บริการสำหรับผู้ขาย) ซึ่งเป็นปัจจัยที่จำเป็นในการ ต่อรองระหว่างคู่สัญญา
12. นโยบายความเป็นส่วนตัว
12-1 LINE ถือว่าความเป็นส่วนตัวของผู้ใช้บริการเป็นสิ่งสำคัญสูงสุด
12-2 LINE สัญญาจะปกป้องความเป็นส่วนตัว และข้อมูลส่วนบุคคลของผู้ใช้บริการตาม นโยบายความเป็นส่วนตัว LINE
12-3 LINE สัญญาจะใช้ความระมัดระวัง และความใส่ใจสูงสุดเกี่ยวกับมาตรการความปลอดภัย เพื่อความมั่นคงปลอดภัยอย่างต่อเนื่องของข้อมูลทั้งหมดของผู้ใช้บริการ
13. บททั่วไป
13-1 ความล่าช้า หรือการไม่ดำเนินการใด ๆ ภายใต้ข้อกำหนดการให้บริการสำหรับผู้ขายฉบับนี้ ไม่ถือว่า LINE สละสิทธิใด ๆ ในข้อหนึ่งข้อใดของข้อกำหนดการให้บริการสำหรับผู้ขาย อนึ่ง หากข้อกำหนดใด ๆ ในข้อกำหนดการให้บริการสำหรับผู้ขายนี้ไม่สมบูรณ์ ไม่มีผลบังคับภายใต้กฎหมายที่เกี่ยวข้อง ให้ถือว่าข้อกำหนดดังกล่าวมีผลใช้บังคับอยู่ได้มากที่สุดเท่าที่จะบังคับได้ (และแยกออกจากข้อกำหนดอื่น ๆ ที่ไม่มีผลบังคับอย่างสิ้นเชิง) ส่วนข้อกำหนดอื่น ๆ ในข้อกำหนดการให้บริการ สำหรับผู้ขายนี้ยังคงมีผลบังคับใช้อยู่ต่อไปอย่างสมบูรณ์ ข้อกำหนดการให้บริการสำหรับ ผู้ขายนี้มีผลผูกพันและเป็นประโยชน์ต่อ LINE บริษัทร่วมของ LINE และผู้รับโอนสิทธิที่ได้รับอนุญาต
13-2 LINE สงวนสิทธิแต่ฝ่ายเดียวในการเปลี่ยนแปลง เพิ่มเติม หรือ ยกเลิกข้อความใด ๆ ในข้อกำหนดการใช้บริการที่เกี่ยวข้อง และ ข้อกำหนดการให้บริการสำหรับผู้ขายไม่ว่าในเวลาใด ๆ โดยผู้ขายมีหน้าที่ต้องตรวจสอบข้อกำหนดการใช้บริการที่เกี่ยวข้อง และ ข้อกำหนดการให้บริการสำหรับผู้ขายก่อนการใช้บริการ LINE MyShop ในแต่ละครั้ง การที่ผู้ขายยังคงใช้บริการ LINE MyShop อย่างต่อเนื่อง หลังจากที่ได้มีการแจ้งการเปลี่ยนแปลงใด ๆ ถือว่าผู้ขายยอมรับและตกลงในการเปลี่ยนแปลงดังกล่าวแล้ว
13-3 ข้อกำหนดการให้บริการสำหรับผู้ขายฉบับนี้ให้ใช้กฎหมายญี่ปุ่นบังคับ โดยไม่ต้องคำนึงถึง การใช้กฎหมายขัดกัน หรือบทบัญญัติแห่งกฎหมายดังกล่าวนั้น ผู้ขายตกลงให้ศาลแขวงโตเกียว ประเทศญี่ปุ่นเป็นศาลที่มีเขตอำนาจ
13-4 ผู้ขายรับประกันต่อ LINE ว่าไม่มี และ จะไม่ยุ่งเกี่ยว ความเกี่ยวข้อง หรือมีความเกี่ยวข้อง กับกลุ่มที่มีอิทธิพล องค์กรที่ยุ่งเกี่ยวกับอาชญากรรม หรือใช้ความรุนแรง
13-5 ผู้ขายจะรักษาข้อมูลความลับของ LINE และ จะไม่เปิดเผยข้อมูลความรับให้แก่บุคคลภายนอก ไม่ว่ากรณีใด ๆ โดยไม่ได้รับความยินยอมจาก LINE

LINE MyShop Terms and Conditions of Service for Sellers
The LINE MyShop Terms and Conditions of Service for Sellers (the “Terms of Service for Sellers”) set forth the terms and conditions for use of LINE MyShop service (the “LINE MyShop Service”) provided by LINE Corporation (LINE Corp.) as the service provider and LINE Company (Thailand) Limited and its affiliates as the distributor (collectively, “LINE”). In addition to the Terms of Service for Sellers, LINE Official Account Terms of Use and LINE Terms and Conditions of Use, and Guidelines established by LINE apply to the use of the LINE MyShop Service (Collectively “Related Terms of Service”). In the event of a conflict among the Terms of Service for Sellers, LINE Official Account Terms of Use and LINE Terms and Conditions of Use, the Terms of Service for Sellers will prevail. The Terms of Service for Sellers will be the highest priority and LINE Official Account Terms of Use and LINE Terms and Conditions of Use will follow (respectively). The Seller is responsible for compliance with all applicable laws and regulations when using the LINE MyShop Service. Any capitalized terms not defined herein shall have the meaning(s) set forth in LINE Official Account Terms of Use and LINE Terms and Conditions of Use.
1. LINE MyShop Service
LINE provides the LINE MyShop Service as a part of LINE Official Account service and as places for the Seller to sell products and services to LINE users (“Purchaser”). For the avoidance of doubt, “Seller” in the Terms of Service for Sellers means the Customer provided in LINE Official Account Terms of Use, who uses this LINE MyShop Service to sell its products and/or services (“Merchandises”). When the Seller makes a sale through the LINE MyShop Service, the Seller is selling the Merchandises to the Purchaser, not to LINE. The Seller agrees that LINE is not an agent for any Seller or Purchaser and has no authority to act on the Seller’s or on a Purchaser’s behalf. LINE will require Seller to register to be able to use the LINE MyShop Service. The information provided for registration (including telephone number, email, shop’s address, bank name, bank branch, account holder’s name, account number) shall be used for the purposes of registration, contained and handled according to LINE Privacy Policy and the respective privacy section of the LINE Official Account Terms of Use. LINE shall have no responsibilities and liabilities as to the transactions between the Purchaser and Seller even if such transactions are made through the LINE MyShop Service and shall not make any kind of warranties or representation as to Purchaser to Seller. Any disputes and conflicts between the Purchaser and Seller shall be resolved between the Purchaser and Seller at their own responsibilities and LINE has no responsibilities and liabilities as to such disputes
2. Rejection of Use of the LINE MyShop Service
In the event that LINE determines that any of the following items is applicable to the Seller, LINE may suspend or terminate the use of the LINE MyShop Service by the Seller at any time:
(1) The Seller was, even once, suspended or rejected to use any service provided by LINE;
(2) The Seller registers or displays information which is incorrect or out of date on LINE Official Account or the LINE MyShop Service;
(3) The Seller violates any provision set forth in the Related Terms of Service; and
(4) Other instances where the use or the registration of Seller of LINE Official Account or the LINE MyShop Service is not appropriate.
3. Grant of License
The Seller hereby grants LINE a non-exclusive, royalty-free, worldwide and irrevocable license to collect, copy, publish, use, reproduce, distribute, share, disclose, transmit, and display information about Seller’s Merchandises (including but not limited to product image, all images, product ID, product description, the product information, product name, product category ID, product category, universal product code (UPC), price, keyword search (Collectively “Merchandises Information”)) and Seller's name, trademarks, service marks and logos during use of the LINE MyShop Service to LINE SHOPPING service and LINE Ads Platform service including other services provided by LINE Corp. and LINE Company (Thailand) Limited (including but not limited to their affiliate, business partner, partnership) for the development, promotion and advertisement of the LINE MyShop Service. The license granted hereunder shall include but is not limited to the right under the Article 27 and Article 28 of Japanese Copyright Act.
4. Seller’s Warranties for Products
4-1 The Seller hereby represents and warrants that any and all Merchandises Information meet the following items:
(1) Truthful, accurate, and not misleading or otherwise deceptive;
(2) Not violating the intellectual property rights, such as copyright, patent, trademark, trade secret, rights of publicity or privacy, of any third party;
(3) Not violating any law, statute, ordinance or regulation; and
(4) Not be defamatory, libelous, unlawfully threatening or unlawfully harassing.
4-2 The Seller hereby represents and warrants that the Seller will not list, offer or sell any of the following items:
(1) Stolen or counterfeit;
(2) Which infringes the intellectual property rights of others, such as copyright, patent, trademark, trade secret or other proprietary rights, rights of publicity or privacy;
(3) Which Seller does not have full right and authority to sell;
(4) Which contain any viruses, Trojan horses, worms, or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;
(5) Which are prohibited to sell or transfer by any applicable law, statute, ordinance or regulation;
(6) Which contain any material that is obscene, pornographic or that is contrary to public order and morality; and
(7) Which may create liability for LINE.
5. Order Information
5-1 The information relating to the LINE MyShop Service as specified in the following below shall be collectively referred to “Order Information":
(a) Purchaser’s information: Purchaser’s name, delivery address, phone number, email, purchased Merchandises;
(b) Order: order number, order created date, last updated date of order, product name, product category, product code, brand, product price, number of products purchased by user, SKU, barcode, images of product, variants (color, size), expiry date of order, coupon code, discount amount of coupon, discount amount of order from the system, discount amount made by seller, additional notes by purchaser, additional notes by seller;
(c) Proof of Payment: transfer amount, transfer date, transfer time, transfer slip image or receipt (consist of date & time, Purchaser’s name, Purchaser’s bank account name, Purchaser’s bank account number (partial), Seller’s name, Seller’s bank account name, Seller’s bank account number (partial), transaction number, amount, fee, price);
(d) Payment Method: bank transfer, credit card, debit card or cash on delivery or other manners;
(e) Shipment Information: order number, Purchaser’s profile name, last updated, total product amount, shipping fee, shipping fee discount amount, shipping methods, shipping company name shipment status; and
(f) Inventory: Product Name, variant, reserved amount, ready to ship amount, available amount, on hand amount.
5-2 The Seller shall strictly manage and use the Order Information in accordance with the applicable laws and regulations, and may only use Order Information to perform its obligations and services relating to a transaction between the Seller and the Purchaser through the LINE MyShop Service, in accordance with the Terms of Service for Sellers, and all applicable laws and regulations. The Seller shall not;
(1) disclose or convey any Order Information to any third party, except for the cases where laws admit to disclose the Order Information to a third party; or
(2) use the Order Information for purposes other than the performance of the obligation to the Purchaser. Notwithstanding, the Seller acknowledges that the Order Information shall be used during the period of the LINE Myshop Service as specified in the agreement between LINE and the Seller only and shall not collect or use or distribute or disclose any of Order Information when the said agreement is terminated or expired.
5-3 The Seller agrees that LINE may collect, process and use the information, activity and behavior of the Seller (the “Seller Information”) within or relating to the LINE MyShop Service for the following purposes:
(1) Utilizing, browsing and associating the Seller Information together with other business partners for meta-analysis not only for the LINE MyShop Service but including LINE’s services as LINE deems appropriate;
(2) Maintaining, developing, innovating and improving the LINE MyShop Service;
(3) Providing target and optimized advertisement on or through the LINE MyShop Service or through the LINE SHOPPING Service;
(4) Placing target and optimized advertisement on Internet, the LINE MyShop Service or in other media;
(5) Measuring the effectiveness of advertisement on the Internet, the LINE MyShop Service or in other media; and
(6) Detecting or preventing fraud, unauthorized use, abuse or unlawful activity of service provided by LINE.
6. Seller’s Responsibilities
6-1 The Seller shall set up the delivery methods at its own obligations and responsibility.
6-2 The Seller will be solely responsible for, and bear all liability for, the fulfillment of the order, including without limitation, packaging and delivering of Merchandises.
6-3 The Seller agrees that the Seller will be solely responsible for any costs and damages caused by the transactions between the Seller and the Purchaser, and will not demand any costs and damages caused by the said transaction against LINE.
6-4 The Seller is responsible for handling the Purchaser’s requests of cancellations, returns, refunds, customer service, or other matters related to the transactions between the Seller and the Purchaser. Once the Purchaser has placed an order for the Merchandises through the LINE MyShop Service, the Seller shall handle all aspects of the order process. LINE will not change or cancel any order made by the Purchaser, including any change of delivery or payment information. The Seller shall appropriately display information on the LINE MyShop Service for the Purchaser to contact the Seller for any changes or cancellations.
6-5 The Seller shall use appropriate information security system to prevent the leakage of or unauthorized access to the Order Information. The Seller shall be solely responsible for damages and costs caused by the said leakage and unauthorized access, and other security accidents.
7. Conditions of Payment
7-1 The Seller shall be responsible to provide payment methods at its sole discretion for selling the Merchandises as well as delivery services to be used and implemented in the LINE MyShop Service. The Seller shall comply with their Terms and Conditions relating to use of such payment gateway (as applicable) and/or delivery services. LINE shall not be involved in any partial or whole payment operations or be liable for any damage and loss arising out of payment’s operations.
7-2 All payments of the delivery fee relating to the Purchaser’s order shall be agreed by the Seller and the Purchaser. The Seller shall comply with the manner of payment specified separately by the delivery carrier.
8. Representations and Warranties
The Seller hereby represents and warrants to LINE the followings:
(1) The Seller is validly existing and in good standing under the laws of the country where the Seller uses the LINE MyShop Service; and
(2) The Seller has the right, power and authority to grant the rights and licenses hereunder free and clear of any claims, liens and encumbrances.
9. Indemnification
The Seller agrees to indemnify and hold harmless LINE and its affiliates, officers, directors, employees and agents, and other users or the LINE MyShop Service from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of or related to Seller’s violation of these Terms of Service for Sellers, disputes between Seller and Purchaser, or Seller’s violation of any law, regulation or third-party right. If the Seller fails to assume such defense, then LINE may defend the action in any manner that it deems appropriate, and the Seller agrees to pay to LINE all costs, including reasonable attorneys' fees, that LINE incurs in effecting such defense in addition to any sum that LINE may be required to pay by reason of any settlement or judgment. This indemnity hereunder, shall survive after the cessation or termination of the Seller’s use of the LINE MyShop Service.
10. Disclaimer of Warranties
THE LINE MYSHOP SERVICES, DOWNLOADS, SOFTWARE, DATA, AND INFORMATION ARE PROVIDED "AS IS." EXCEPT AS EXPRESSLY STATED HEREIN, LINE EXPRESSLY DISCLAIMS ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER RELATING TO THE LINE MYSHOP SERVICE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR QUALITY OF DATA AND FITNESS FOR A PARTICULAR PURPOSE, SUITABILITY, TITLE, NON-INFRINGEMENT, LACK OF VIRUSES OR CORRESPONDENCE TO DESCRIPTION.
11. LIMITATION OF LIABILITY
THE ENTIRE RISK ARISING OUT OF THE USE OF THE LINE MYSHOP SERVICE REMAINS WITH THE SELLER. IN NO EVENT LINE OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THESE TERMS OF SERVICE FOR SELLER OR THE USE OF OR INABILITY TO USE ANY MERCHANDISES, ARISING OUT OF OR IN CONNECTION WITH THE DELAY OR INABILITY TO USE THE LINE MYSHOP SERVICE OR RELATED SERVICES, ARISING OUT OF THE PROVISION OF OR FAILURE TO PROVIDE MERCHANDISES, OR IN CONNECTION WITH ANY INFORMATION AND SOFTWARE OBTAINED THROUGH THE LINE MYSHOP SERVICE, OR OTHERWISE ARISING OUT OF THE USE OF THE LINE MYSHOP SERVICE WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE EVEN IF LINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORDER INFORMATION SUCH AS BILLING OR DELIVERY ADDRESS THAT IS INACCURATE OR INCOMPLETE MAY RESULT IN DELAYS THAT SHALL NOT BE THE RESPONSIBILITY OF LINE. THE SELLER ACKNOWLEDGES AND AGREES THAT THE LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES AND LIMITED REMEDIES SET FORTH HEREIN REPRESENT AN INSEPARABLE ALLOCATION OF RISK (INCLUDING, WITHOUT LIMITATION, IN THE EVENT OF A TOTAL AND FUNDAMENTAL BREACH OF THESE TERMS OF SERVICE FOR SELLER) THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.
12. Privacy
12-1 LINE places its highest priority on the privacy of its users.
12-2 LINE promises to protect the privacy and personal information of its users in accordance with the LINE Privacy Policy.
12-3 LINE promises to exercise the utmost care and attention regarding its security measures for the continued security of any and all user information.
13. General
13-1 No delay or failure to take action under these Terms of Service for Sellers shall constitute any waiver by LINE of any provision of these Terms of Service for Sellers. If any provision of these Terms of Service for Sellers is invalid or unenforceable under applicable law, then that provision is, to that extent, deemed enforceable to the fullest extent possible (and severable in the event such provision is completely unenforceable) and the remaining provisions of these Terms of Service for Sellers will continue in full force and effect. These Terms of Service for Sellers will bind and inure to the benefit of LINE, its affiliates, and their permitted successors and assigns.
13-2 LINE reserves the right, at its sole discretion, to change, add or remove portions of these Related Terms of Service and Terms of Service for Sellers, at any time. It is Seller’s responsibility to check Related Terms of Service and Terms of Service for Sellers each time before using the LINE MyShop Service. The Seller continued use of the LINE MyShop Service following the posting of changes will mean that the Seller accepts and agrees to the such changes.
13-3 These Terms of Service for Sellers shall be governed by the laws of Japan without regard to or application of any conflict of laws, or provisions. The Seller consents to the exclusive jurisdiction of the Tokyo District Court in Japan.
13-4 The Seller shall warrant to LINE that it is not and does not have any relationship with anti-social forces.
13-5 The Seller shall keep the confidential information of LINE in secret and shall not disclose such confidential information to any third parties in any cases without LINE’s consent.
